1. About these terms
The Interior Exchange provides project-led research and sourcing support. Submitting a brief is an enquiry and does not create a contract or payment obligation. The contracting party and any additional project-specific terms will be identified in the written proposal sent to you.
2. Agreeing an engagement
After reviewing your brief, we may ask questions and send a written proposal setting out the agreed search, deliverables, expected turnaround, fee, applicable taxes, payment timing and intended start date. An engagement begins only when both sides accept that proposal in writing.
3. What the service includes
We research the trusted network first and may then search the wider market. The finished sourcing sheet may include suppliers, creatives, products or services, their relevance to the brief, indicative commercial information, location or coverage, trade availability, verification status and a contact or introduction route. We will perform the agreed service with reasonable care and skill.
4. Verification and recommendations
Every recommendation is labelled Verified Partner, In Review or Sourced—Verification Pending. These statuses describe checks completed at the time of research; they are not endorsements or guarantees of future availability, quality, suitability, solvency or performance. You remain responsible for deciding whether a recommendation is appropriate for the project and for carrying out any additional project-specific due diligence.
5. Prices, lead times and third parties
Unless we state otherwise, prices, lead times, stock, delivery coverage and trade terms are indicative and must be confirmed directly before ordering. Any purchase or appointment is normally a separate contract between you or your client and the chosen supplier, creative or specialist. We are not responsible for a third party’s goods, services, acts or omissions.
6. Your responsibilities
You agree to provide accurate, sufficiently detailed and timely project information, identify material changes to the brief and make decisions needed to keep the work moving. You must have permission to share uploaded plans, images, specifications and other materials. Our service is not architectural, structural, engineering, legal, tax or regulated professional advice.
7. Changes, cancellation and pilot briefs
Changes to an agreed brief may affect timing and fees and will be confirmed in writing. Cancellation arrangements for a business client will be those in the accepted proposal. If you contract as a consumer, your mandatory legal rights remain unaffected and a statutory cancellation period may apply to a distance contract. We will ask for your express request before beginning within any applicable cancellation period.
8. Confidentiality and project materials
We will use confidential brief materials only to provide and administer the service, subject to our Privacy & Cookie Notice. You grant us the limited permission needed to review and, where necessary, share relevant extracts with potential sources. The sourcing sheet is supplied for your internal use on the named project and may not be sold, published or used to create a competing directory.
9. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, and to any mandatory consumer rights, we are not liable for indirect or consequential loss, loss of profit or a third party’s performance. Our total liability relating to an engagement will not exceed the sourcing fees paid for that engagement, unless the accepted proposal states otherwise.
10. Concerns and governing law
Please raise any concern promptly so we have a fair opportunity to put it right. Contact hello@theinteriorexchange.co.uk. These terms and each engagement are governed by the laws of England and Wales, subject to any mandatory rights a consumer has under the law that applies to them.
